Please read these terms carefully before purchasing, booking or using a service. Any specific proposal, order form, booking confirmation or other written service agreement should be read alongside these terms.

OPR Consultants Limited is registered in England and Wales.

In these terms, “we”, “us” and “our” mean OPR Consultants Limited trading as Oliver Johnson Coaching. “You” and “your” mean the person or organisation purchasing, booking or using a service.

2. BUSINESS CUSTOMERS ONLY

Our services are supplied for business and professional purposes.

By purchasing, booking or using a service, you confirm that you are acting wholly or mainly for purposes connected with your trade, business, craft or profession and not as a consumer.

If you believe you may be purchasing as a consumer, please contact us before booking or making payment so that the appropriate terms can be agreed.

3. HOW A CONTRACT IS FORMED

The specific service, scope, start date, duration, delivery arrangements, fees and payment schedule may be set out in a proposal, order form, booking confirmation, invoice, email or other written agreement. In these terms, that document or written confirmation is called the “Service Agreement”.

A contract is formed when any of the following happens:

• You sign or otherwise accept a Service Agreement.

• You confirm in writing that you wish to proceed.

• You make a payment for the service.

• We begin providing the service at your request.

• You join or begin using a membership, community, programme or digital resource that is stated to be subject to these terms.

The contract consists of the Service Agreement and these Terms of Business.

If there is a conflict between the Service Agreement and these terms, the Service Agreement will take priority for the specific service concerned.

No change to the contract will be effective unless it is agreed in writing by both parties.

4. OUR SERVICES

Depending on the Service Agreement, our services may include:

• One-to-one business coaching.

• Business Mastermind meetings and related support.

• Free or paid Enable Business Community membership.

• Sales training, workshops and team-development sessions.

• Keynote speaking and event contributions.

• Business tools, worksheets, lessons, recordings and other learning materials.

• Strategy sessions, reviews and related business-support services.

We will provide the agreed services with reasonable care and skill.

The detailed content, format, timetable and deliverables for a particular service will be described in the relevant Service Agreement or service description.

We may make reasonable changes to the order, format or delivery method of a service where this does not materially reduce its overall value or purpose. We will notify you of any material change that affects the agreed service.

5. YOUR RESPONSIBILITIES

You agree to:

• Provide accurate, complete and timely information that is reasonably needed to deliver the service.

• Attend agreed sessions and meetings on time and participate constructively.

• Complete agreed actions and make your own business decisions.

• Ensure that the people attending on your behalf have the necessary authority and availability.

• Provide suitable facilities, technology, access or materials where these are reasonably required.

• Treat Oliver, other participants, guest speakers and service providers respectfully.

• Keep confidential any private or commercially sensitive information shared by other participants.

• Use the services and materials only for lawful business purposes.

• Tell us promptly about anything that may affect delivery of the service.

You remain responsible for your business, decisions, implementation, employees, legal and regulatory compliance, finances and results.

6. FEES, VAT AND PAYMENT

The fees and payment schedule for a service will be set out in the relevant Service Agreement, invoice, booking confirmation or service description.

Unless we expressly state otherwise in writing, all fees are quoted exclusive of VAT and any other applicable taxes. You must pay any VAT that is properly chargeable.

Payments must be made on the dates specified in the Service Agreement or invoice.

Where a service is paid by monthly instalments, each instalment is payable in advance on the agreed payment date. An instalment arrangement does not change the minimum commitment or total fees agreed for the service.

Where recurring payment has been authorised, you authorise us and our payment provider to collect the agreed payment on each payment date until the service is properly cancelled or ends in accordance with the contract.

You must make payments in full without withholding, deduction or set-off, except where this is required by law.

You are responsible for ensuring that your billing and payment information remains accurate and that sufficient funds are available on each payment date.

7. LATE PAYMENT AND SUSPENSION

If an amount is not paid when due, we may:

• Send payment reminders and request immediate payment.

• Suspend sessions, meetings, membership access, digital resources or other services after giving reasonable written notice.

• Decline to schedule or deliver further work until the overdue amount has been paid.

• Charge statutory interest and applicable debt-recovery costs in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

Suspending a service does not cancel the contract or remove your responsibility to pay fees that are due under it.

If payment remains overdue after notice has been provided, we may terminate the affected service in accordance with the termination provisions in these terms.

8. ONE-TO-ONE BUSINESS COACHING

Unless the relevant Service Agreement states otherwise, the initial commitment for One-to-One Business Coaching is six months.

The Service Agreement will set out the agreed programme, number or frequency of sessions, fees and payment schedule.

Where fees are paid by monthly instalments, the instalments are a payment arrangement for the full agreed commitment. They do not create a monthly right to cancel, and all instalments for the agreed term remain payable if you decide to stop participating early.

You must provide at least 48 hours’ notice if you wish to rearrange a coaching session.

If you provide less than 48 hours’ notice or do not attend, the session will normally be treated as used and will remain payable. We may make an exception where we consider that the circumstances reasonably justify it.

Any rearranged session is subject to availability and must normally take place within the agreed programme period.

If we need to rearrange a session, we will give you as much notice as reasonably possible and offer an alternative date. If we are unable to provide an agreed session within a reasonable period, we will provide an appropriate replacement session, credit or refund for the undelivered session.

Unused sessions expire at the end of the agreed programme unless we agree otherwise in writing.

Coaching sessions and programme access may not be transferred to another person or organisation without our prior written agreement.

9. BUSINESS MASTERMIND

Unless the relevant Service Agreement states otherwise, participation in the Business Mastermind is based on a six-month commitment.

The intended format includes:

• One two-hour online group meeting each month.

• One full-day in-person working session each quarter.

• Peer discussion, challenge and accountability.

• Practical learning, progress reviews and agreed actions.

• Guest speakers or specialist contributions where appropriate.

The dates, venues, topics, guest contributors and order of delivery may change where reasonably necessary. We will provide reasonable notice of material changes and will not materially reduce the overall purpose or value of the programme.

The Mastermind fees cover the full agreed commitment. Where monthly instalments are offered, they are a payment arrangement and do not create a monthly right to cancel.

If you miss an online meeting, in-person day or other scheduled Mastermind activity, no refund, credit or substitute session will be provided.

You are responsible for your own travel, accommodation and other costs of attending in-person meetings unless the Service Agreement expressly states otherwise.

Your place may not be transferred to another person or organisation without our prior written agreement.

You must respect the privacy and confidentiality of other Mastermind participants. You must not disclose another participant’s confidential, personal or commercially sensitive information without their permission.

We may suspend or remove a participant for serious or repeated misconduct, abusive or disruptive behaviour, breach of confidentiality, non-payment or another material breach of the contract. Where removal results from your breach, fees due for the agreed commitment remain payable.

If we end the Mastermind for reasons unrelated to your conduct or breach and cannot provide a reasonable replacement, we will refund any fees paid in advance for the part of the programme that will not be delivered.

10. ENABLE BUSINESS COMMUNITY

Enable includes a free community level and an optional paid membership level.

The free level currently includes:

• Five starter business lessons.

• Access to the Enable online community.

• One open live Q&A session each month.

The paid membership currently costs £49 plus VAT per month and includes:

• Access to the full paid learning library, currently comprising 27 member lessons across nine practical business areas.

• Worksheets, activities and other implementation tools.

• Paid-member live Q&A sessions, normally held every two weeks.

• Continued access to the Enable online community.

Paid membership continues monthly until it is cancelled in accordance with these terms.

You may cancel paid membership at any time before the next recurring payment is taken. Cancellation will take effect at the end of the billing period you have already paid for.

You will retain paid access until the end of that billing period. We do not provide refunds or credits for a partly used billing period.

If a cancellation request is received after a recurring payment has already been taken, the cancellation will apply to the following billing period.

Membership access is personal to you and may not be transferred or shared with another person or organisation.

We may update lessons, resources, session dates, contributors and the way the community is delivered. We will not materially reduce the overall value of a paid billing period without providing a reasonable alternative.

We may change the paid-membership price by giving at least 30 days’ notice. A price change will not apply retrospectively. If you do not wish to continue at the new price, you may cancel before it takes effect.

We may change, suspend or withdraw free membership features after giving reasonable notice where practical. Because the free level is supplied without charge, ending or changing free access does not create a right to payment or compensation.

11. SALES TRAINING AND KEYNOTE SPEAKING

Unless the Service Agreement states otherwise, the following provisions apply to sales training, workshops, keynote speaking and other event-based services.

The Service Agreement will confirm the intended date, location, format, duration, audience, scope and fee.

A booking payment equal to 50% of the agreed fee is required to reserve the date. The remaining balance is due no later than 14 days before the scheduled delivery date.

You are responsible for agreed travel, accommodation, venue and other event-related costs. We will identify or agree material additional costs with you before they are incurred where reasonably possible.

You are responsible for:

• Providing an appropriate, safe and accessible venue.

• Providing the agreed audiovisual equipment, internet access and other facilities.

• Ensuring that we can access the venue with sufficient time to prepare.

• Giving us accurate information about the audience, event format and intended outcomes.

• Obtaining any permissions needed for photography, filming, recording or use of attendee information.

If you cancel an event-based service:

• 30 or more days before the scheduled delivery date, the 50% booking payment will be retained.

• Between 15 and 29 days before the scheduled delivery date, 75% of the agreed fee will be payable.

• 14 days or fewer before the scheduled delivery date, 100% of the agreed fee will be payable.

These cancellation amounts reflect the date being reserved, preparation already undertaken and the reduced opportunity to accept replacement work.

We will take reasonable steps to reduce avoidable losses and will not recover twice for the same loss. If the date is resold or material costs are avoided, we will make any adjustment that is reasonable in the circumstances.

A request to postpone or change the delivery date is subject to availability and written agreement. We may agree to transfer payments to one replacement date, but we are not required to do so where the change would cause material cost, lost work or other significant disruption.

Any additional work or cost resulting from a change requested by you must be agreed and may be charged separately.

12. SERVICE DATES, CHANGES AND CANCELLATION BY US

Service dates and times are subject to written confirmation.

If you request a change to an agreed service, date, location, format, scope or attendee arrangement, the change will be subject to our availability and written agreement.

We will tell you about any resulting change to the fee, timetable, expenses or other terms before the revised arrangement is confirmed.

If we need to rearrange a session, meeting, event or other service, we will give you as much notice as reasonably possible and offer a suitable alternative where practicable.

If we cancel an agreed service for reasons unrelated to your breach and cannot provide a reasonable alternative, we will refund the fees you have paid in advance for the part of the service that will not be delivered.

Where a technical problem or third-party platform failure prevents an online session or resource from being delivered, we may provide a replacement session, alternative access, recording, credit or another reasonable solution.

We are not responsible for changes or delays caused by inaccurate or late information, unavailable personnel, unsuitable facilities or another failure by you to meet your responsibilities under the contract.

The provisions above are subject to the events-beyond-our-control section in these terms.

13. BUSINESS DECISIONS, ADVICE AND RESULTS

Our services provide business education, coaching, training, challenge, facilitation and practical support.

We do not guarantee any particular level of revenue, profit, sales, growth, valuation, cost saving, team performance or other commercial result.

Results depend on factors outside our control, including your decisions, implementation, market conditions, team, customers, resources and existing business position.

You remain responsible for deciding whether and how to act on any discussion, recommendation, tool, worksheet or other material.

Information and recommendations may be based on information that you or your team provide. We are not responsible for an outcome affected by information that was inaccurate, incomplete or provided late.

Unless expressly agreed in writing, our services do not constitute legal, tax, accounting, investment, financial-planning, medical, employment-law or other regulated professional advice.

You should obtain advice from an appropriately qualified professional where a decision requires specialist or regulated advice.

Nothing in the contract creates a partnership, joint venture, employment relationship or agency between you and us. Neither party has authority to make commitments on behalf of the other unless this is expressly agreed in writing.

14. INTELLECTUAL PROPERTY AND USE OF MATERIALS

All intellectual-property rights in our programmes, frameworks, methods, presentations, lessons, recordings, videos, worksheets, templates, documents, graphics, branding and other materials remain owned by us or the relevant third-party owner.

Payment for a service does not transfer ownership of those rights to you.

We grant you a limited, non-exclusive and non-transferable licence to use the materials supplied to you for your own internal business purposes.

Unless the relevant material or Service Agreement states that access is personal to one participant, you may share reasonable working copies with members of your internal team who need them for the agreed business purpose.

You must not, without our prior written permission:

• Sell, license, sublicense or commercially exploit our materials.
• Publish, upload, distribute or make our materials available to people outside your business.
• Copy or reproduce substantial parts of a programme, lesson, presentation or resource for delivery by another coach, trainer, consultant or service provider.
• Use our materials to create or deliver a competing programme, membership, training course or commercial product.
• Record, film, stream or distribute a coaching session, Mastermind meeting, training session, keynote or live Q&A unless this has been agreed in writing.
• Remove copyright notices, branding or other ownership information.

You retain ownership of materials and information that you provide to us.

You grant us permission to use those materials only as reasonably necessary to provide the agreed service, meet our legal obligations and maintain appropriate business records.

15. CONFIDENTIALITY

Each party must keep the other party’s confidential information secure and must not disclose it except as permitted by these terms.

Confidential information includes non-public commercial, financial, strategic, operational, technical, personal or other sensitive information disclosed in connection with a service.

Each party may use confidential information only for the purpose of performing or receiving the agreed service.

Confidential information may be shared with employees, contractors or professional advisers who reasonably need it for that purpose and who are subject to appropriate confidentiality obligations.

These restrictions do not apply to information that:

• Is or becomes publicly available other than through a breach of confidentiality.
• Was already lawfully known without a confidentiality restriction.
• Is received lawfully from another source without a confidentiality restriction.
• Is developed independently without using the other party’s confidential information.
• Must be disclosed by law, a court, regulator or other competent authority.

Participants in group services, including the Business Mastermind and Enable Business Community, are individually responsible for respecting the confidentiality of other participants.

We will set clear expectations about confidentiality, but we cannot guarantee that another participant will comply with those expectations. A participant remains responsible for any disclosure or misuse they cause.

We will not use your name, logo, testimonial, photograph or business information in a public case study or promotional material without your permission.

The confidentiality obligations in this section continue after the relevant service and contract end.

16. DATA PROTECTION AND RECORDINGS

Each party must comply with the data-protection laws that apply to its activities under the contract.

Our collection and use of personal information is explained in our Privacy Policy.

Unless expressly agreed otherwise, each party acts as an independent data controller for the personal information it collects and uses for its own purposes.

If you provide personal information about an employee, attendee, participant, customer or another person, you are responsible for ensuring that you have a lawful basis for doing so and that any required privacy information has been provided.

We may record or automatically transcribe strategy calls, coaching sessions, Mastermind meetings, Enable Q&A sessions or other meetings where:

• You and the other participants have been informed.

• Recording or transcription has been agreed.

• There is a legitimate service-delivery, note-taking, action-tracking or record-keeping purpose.

We will handle recordings and transcripts in accordance with our Privacy Policy.

You must not record, transcribe, film, stream or distribute a session, meeting or event without our prior written agreement and any permission required from the other participants.

If the agreed service requires us to process personal information solely on your behalf, the parties will agree any additional data-processing terms that are reasonably required.

17. THIRD-PARTY PROVIDERS AND PLATFORMS

We may use suitable employees, contractors, guest speakers, specialists and third-party service providers to help deliver or administer the services.

We may also use third-party platforms for website hosting, bookings, customer relationship management, payments, email, video meetings, document sharing, recordings, transcripts, analytics and community access.

This may include services such as GoHighLevel, LeadConnector, Google and Skool, together with other suitable providers.

Your use of a third-party platform may also be subject to that provider’s own terms and privacy information.

We will take reasonable care when selecting providers, but we do not control their systems, security, availability, updates or independent actions.

A temporary interruption or failure of a third-party platform will not by itself amount to a breach by us where the issue is outside our reasonable control and we take reasonable steps to provide an alternative or restore delivery.

You are responsible for maintaining suitable devices, software, internet access and account security where these are required to receive a service.

You must keep login details confidential and tell us promptly if you believe that an account or access credential has been compromised.

Links or references to third-party websites, tools or services are provided for convenience and do not amount to an endorsement or guarantee.

18. LIABILITY

Nothing in the contract excludes or limits liability for:

• Death or personal injury caused by negligence.

• Fraud or fraudulent misrepresentation.

• Any other liability that cannot lawfully be excluded or limited.

Subject to those exceptions, we are responsible for direct loss caused by our breach of the contract where that loss was reasonably foreseeable when the contract was formed.

To the fullest extent permitted by law, we are not liable for:

• Loss of profit, revenue, sales, contracts, business opportunity, anticipated savings or goodwill.

• Loss or corruption of data where you have not maintained reasonable backups.

• Indirect or consequential loss.

• Loss caused by a business decision that you make, an action you fail to take or your failure to implement agreed actions.

• Loss caused by inaccurate, incomplete or late information supplied by you or someone acting for you.

• The independent act, omission or failure of another participant, third-party provider or external platform where this is outside our reasonable control.

Subject to the liabilities that cannot lawfully be limited, our total aggregate liability arising from or connected with an affected service will not exceed the total fees paid or payable for that service under the relevant Service Agreement.

The liability cap does not reduce or remove your obligation to pay fees and other amounts properly due under the contract.

Each party must take reasonable steps to limit or reduce any loss it suffers.

19. TERMINATION

A service will continue for the period stated in the Service Agreement or until it is ended in accordance with the applicable cancellation provisions and these terms.

Either party may terminate the affected contract by written notice if the other party:

• Commits a material breach that cannot be remedied.

• Commits a material breach that can be remedied but fails to remedy it within 14 days after receiving written notice requiring it to do so.

• Becomes insolvent, ceases trading or is unable to pay its debts when due.

We may suspend or terminate a service immediately where there is serious unlawful, abusive, threatening or disruptive conduct, a serious breach of confidentiality or intellectual-property rights, or conduct that creates a material safety or security risk.

We may also terminate a service where payment remains overdue after the notice described in Section 7.

Except where another provision expressly allows cancellation, deciding to stop participating before the end of an agreed minimum commitment does not remove your responsibility to pay the fees for that commitment.

If we terminate a service for reasons unrelated to your breach and cannot provide a reasonable replacement, we will refund fees paid in advance for the part of the service that will not be delivered.

When a service or contract ends:

• All fees and other amounts already due become immediately payable.

• Your right to attend sessions or access membership areas, platforms and digital resources ends at the applicable termination date.

• Each party must stop using and, where reasonably requested, return or delete the other party’s confidential materials, subject to legal retention duties and routine secure backups.

• Any provision intended to continue after termination will remain effective, including provisions concerning payment, intellectual property, confidentiality, data protection, liability and governing law.

20. EVENTS BEYOND OUR REASONABLE CONTROL

Neither party is responsible for delay or failure caused by an event beyond its reasonable control.

Such events may include serious illness, bereavement, severe weather, fire, flood, travel disruption, venue closure, power or internet failure, cyber incident, epidemic, pandemic, government restriction, industrial dispute or failure of an essential third-party supplier or platform.

The affected party must notify the other as soon as reasonably possible and take reasonable steps to reduce the effect of the event.

The affected obligations will be suspended for as long as the event reasonably prevents performance.

The parties will first try to agree an alternative date, delivery method or reasonable substitute.

If the affected service cannot reasonably be delivered within 60 days, either party may terminate the undelivered part by written notice. We will refund fees paid in advance for that undelivered part, less any reasonable and evidenced non-recoverable costs incurred specifically for it.

This section does not excuse payment of an amount that became due before the event occurred.

21. COMMUNICATIONS AND FORMAL NOTICES

Routine communications about bookings, sessions, actions, resources and service delivery may be sent using the communication methods normally used between the parties.

A formal notice concerning breach, suspension or termination of the contract must be in writing and sent by email or post.

A notice to us should be sent to:

Email: [email protected]

Postal address: The Fords, Queens Head, Oswestry, United Kingdom, SY11 4JL

A notice to you may be sent to the email or postal address shown in the Service Agreement, booking information, invoice or most recent contact information you have provided.

You must tell us promptly if your contact information changes.

An email notice will be treated as received on the next Business Day after it is sent, provided that the sender does not receive a delivery-failure message.

A notice sent by first-class post will be treated as received two Business Days after posting.

In this section, “Business Day” means Monday to Friday, excluding public holidays in England.

This section does not apply to the formal service of court proceedings or other legal documents where different rules apply.

22. CHANGES TO THESE TERMS

We may update these Terms of Business for future bookings, purchases and Service Agreements. The date at the top of the page shows when the terms were last updated.

A change will not retrospectively alter a completed service or an amount that was already due.

We will not materially change the agreed terms of a fixed minimum commitment without your written agreement, unless the change is reasonably required by law or regulation.

For an ongoing monthly membership or other recurring service, we will give at least 30 days’ notice of a change that materially affects the service, price or your rights.

If you do not agree to a notified change to an ongoing monthly service, you may cancel that service before the change takes effect.

We may make an urgent change without the full notice period where this is reasonably necessary to comply with law, address a security issue or prevent misuse. We will explain the change as soon as reasonably possible.

23. GENERAL TERMS

The Service Agreement and these Terms of Business form the entire agreement between the parties concerning the relevant service.

Each party confirms that it has not relied on a statement, promise or representation that is not included in the contract. Nothing in this paragraph excludes liability for fraud or fraudulent misrepresentation.

You may not assign, transfer or subcontract your rights or obligations under the contract without our prior written agreement.

We may transfer the contract to a successor or purchaser of our business, provided that doing so does not materially reduce your rights under the contract.

A person who is not a party to the contract has no right to enforce it under the Contracts (Rights of Third Parties) Act 1999.

If a court or competent authority finds any provision of the contract unlawful, invalid or unenforceable, that provision will be treated as modified to the minimum extent necessary. If it cannot be modified, it will be removed. The remaining provisions will continue in effect.

A delay or failure to exercise a right does not waive that right. A waiver is effective only if it is given in writing and applies only to the specific circumstances for which it was given.

Rights and remedies under the contract are cumulative and do not exclude rights or remedies provided by law.

Headings are included for convenience and do not affect the interpretation of the contract.

The contract may be accepted or signed electronically and in separate counterparts. Each counterpart will be treated as an original and together they form one agreement.

24. GOVERNING LAW AND DISPUTES

The contract and any non-contractual dispute or claim arising from it are governed by the law of England and Wales.

The parties will first try in good faith to resolve a concern or dispute through direct discussion.

Nothing in these terms prevents either party from seeking urgent legal protection or taking action where a legal limitation period is approaching.

The courts of England and Wales have exclusive jurisdiction to settle any dispute or claim arising from or connected with the contract.
